These vendor terms apply to anyone who registers as a seller on the novasoftshop.com marketplace (a “vendor”). They are additional to, and sit alongside, our customer-facing Terms & Conditions. By completing vendor registration or listing a product for sale, you agree to these terms.
1. What the marketplace is
NovaSoft Shop (operated by NovaSoft Technologies Pty Ltd, ACN 694 025 379, ABN 31 694 025 379, “NovaSoft”, “we”, “us”) provides a platform that lets independent vendors list and sell their own products directly to customers. Vendors are independent sellers, not employees, partners or agents of NovaSoft. For products you list as a vendor, the contract of sale is between you and the customer — not with NovaSoft — and you are the seller of record for that sale. This is separate from NovaSoft’s own first-party catalogue, where NovaSoft is the seller.
2. Becoming a vendor
You must be at least 18 years old and provide accurate registration information, including a valid Australian bank account for payouts. We may decline or suspend a vendor application at our discretion. New vendor accounts are reviewed before they can sell, and products you submit are held for admin approval before they appear live on the site.
3. Your listings
You are responsible for the accuracy of everything in your listings — title, description, images, price, stock levels and shipping timeframes. Listings must not make false or misleading claims, including about where a product is made, dispatched or tested, and must not misrepresent stock availability, sales history or reviews. You may not list counterfeit, unsafe, prohibited or illegal items, or items that infringe someone else’s intellectual property. We may reject, edit the categorisation of, suspend or remove any listing that breaches these terms or that we reasonably consider unsuitable for the marketplace, at any time and without notice for serious breaches.
4. Orders, fulfilment and returns
You must fulfil orders for your listings promptly and provide realistic delivery estimates. As the seller of record for your own listings, you are responsible for meeting the consumer guarantees under the Australian Consumer Law that cannot be excluded — including remedies for items that are faulty, not as described, or fail to arrive — and for handling change-of-mind returns consistently with the returns policy shown to customers at checkout. NovaSoft provides the order, messaging and payment tools to help you meet these obligations and may step in to assist with or resolve a customer complaint, but doing so does not make NovaSoft the seller of your listings.
5. Fees and payouts
NovaSoft retains a 15% commission on each sale made through your store. Remaining balances are paid out by bank transfer; payouts are processed manually and are not instant. You are responsible for your own tax obligations, including GST registration and reporting if applicable to your business, and for providing correct bank details — we are not liable for payouts sent to an incorrect account you provided.
6. Vendor conduct
You must not use the marketplace for fraud, fake reviews, or to contact customers with the intent of moving a transaction off-platform to avoid fees. You must comply with the Australian Consumer Law, applicable advertising and product-safety laws, and any other law relevant to the products you sell.
7. Content licence
You retain ownership of the text, images and other content you upload to your listings and store page, and you confirm you have the right to use it. You grant NovaSoft a non-exclusive licence to host, display, reproduce and promote that content on the site and in our marketing for as long as your listing or store is live.
8. Suspension and termination
We may suspend or close your vendor account for breach of these terms, at our reasonable discretion, and immediately for serious breaches such as fraud, unsafe products or repeated customer complaints. You may close your store at any time; outstanding orders must still be fulfilled or refunded and any owed payout will still be paid out.
9. Liability and indemnity
You are liable for your own listings, products and conduct as a vendor, and you indemnify NovaSoft against claims, losses or costs arising from them, to the extent permitted by law. Nothing in this section limits any right or remedy that cannot be excluded under the Australian Consumer Law or other applicable law.
10. Changes and governing law
We may update these vendor terms from time to time; continuing to sell on the marketplace after an update means you accept the change. These terms are governed by the laws of New South Wales, Australia.
